HMT Outcome of UK Prospectus Review

The review of the prospectus regime commenced in November 2020 as part of Lord Hill’s review of UK listings (the UK Listings Review), which was followed by HMT’s specific consultation on the prospectus regime in July 2021. HMT published a summary of the initial responses it had received from various interested stakeholders to its consultation on 16 December 2021 (the Summary of Responses).

The conclusions set out in the Review Outcome are largely as expected, being consistent with HMT’s commentary around the direction of travel for the prospectus regime in the Summary of Responses.
