Inactive entities are to be removed from the Luxembourg RCS

The Luxembourg Business Register as the administrator of the Luxembourg Trade and Companies Register (RCS) will soon implement an administrative procedure for the de-registration of inactive entities from the RCS.

On the 13 January 2020, the Luxembourg Business Register as the administrator of the Luxembourg Trade and Companies Register (hereinafter, the RCS), made a public announcement that it will soon implement an administrative procedure for the de-registration of inactive entities from the RCS.

This administrative striking-off procedure aims to de-register, all entities registered with the RCS, which have not made an RCS filing within the last ten years.

Importantly, however, the procedure does not affect sole traders, civil companies and public institutions.

Those entities affected shall be informed in advance by letter and may, if necessary and within a one-month time period, submit their observations and/or rectify their position with the RCS.

It is recommended that entities receiving such a letter contact the Simmons & Simmons Luxembourg Corporate team at the earliest convenience, for assistance and greater clarity on their position.
