International law firm Simmons & Simmons has advised the management team of Liberis, a leading global embedded finance platform, on its equity arrangements as part of Nordic Capital’s acquisition of the business.
The transaction, which was announced in June and completed last week following regulatory approval, brings together Liberis and Qred, one of Europe’s leading digital small business banks, to create a global platform for small and medium-sized business (SMB) financing.
Liberis provides embedded finance solutions through software providers, payment companies, marketplaces and financial platforms across Europe, the UK and North America. It has enabled more than 70,000 small businesses to access funding through a network of more than 30 partners.
Nordic Capital is a leading international private equity investor. The combination brings together Liberis’ embedded finance capabilities with Qred’s digital banking and lending platform.
The Simmons & Simmons team was led by private equity Partner Gemma Phillips, supported by Thomas Mawson (Managing Associate) and Ray Lama (Associate).
Gemma Phillips commented: “This is an important milestone for Liberis, bringing together two complementary businesses and supporting its next phase of growth. We’re proud to have supported the management team on this transaction.”
Rob Fairfield, Liberis CEO, commented: “We couldn’t have asked for better support from Simmons & Simmons on what was a complex transaction. Gemma and the team were a real pleasure to work with: commercial, quick to respond and practical throughout. They guided us through a complex process with real care.”
