Advising Invesco on cross border merger between France and Luxembourg

Advising Invesco on cross border merger of its French subsidiary into its Luxembourg subsidiary.

Our Paris and Luxembourg offices have together advised the American asset manager Invesco on the merger into its Luxembourg entity Invesco Management SA (IMSA) of its French entity Invesco Asset Management SA (IAMSA) including branches located in five European countries.

Invesco is an independent investment management firm and started the simplification of its European structures a few months ago.

IAMSA, the Paris organization, ruled by the AMF, had the distinctive feature to hold the branches of Italy, Spain, Belgium, The Netherlands and Sweden, the assets of which have now been transferred to newly created branches of IMSA.

Our team was led by Partner Simonetta Giordano and Anna Velitchkova (of counsel) in France and by Partner Thierry Somma and Arnaud Fostier (counsel) in Luxembourg. The team was further composed of:
